Eligibility and Authorized Use<\/h2><p>You represent that:<\/p><ul><li>you are legally capable of entering into these Terms, and<\/li><li>you are using Cuora for professional, commercial, or organizational purposes.<\/li><\/ul><p>You may not use Cuora for unlawful, misleading, abusive, or unauthorized purposes.<\/p><h2>4. Accounts and Access<\/h2><p>Access to Cuora may require authentication. You are responsible for:<\/p><ul><li>maintaining the confidentiality of your credentials<\/li><li>ensuring only authorized individuals access your workspace<\/li><li>all activity conducted under your account<\/li><\/ul><p>We reserve the right to suspend or terminate access where misuse, security risks, or violations of these Terms are identified.<\/p><h2>5. User Content<\/h2><h3>5.1 Ownership<\/h3><p>You retain all rights to any content you upload, submit, or generate within Cuora (\u201cUser Content\u201d).<br \/>Avenza Tech does not claim ownership of User Content.<\/p><h3>5.2 Responsibility<\/h3><p>You are solely responsible for:<\/p><ul><li>the accuracy, legality, and appropriateness of User Content<\/li><li>ensuring you have the lawful right to upload and process such content, including any personal data<\/li><\/ul><h3>5.3 Processing<\/h3><p>User Content is processed solely to provide the functionality of Cuora and in accordance with our Privacy Policy.<\/p><h2>6. AI Assisted Outputs<\/h2><p>Cuora uses AI systems to generate draft text, analyses, and suggestions.<\/p><p>You acknowledge that:<\/p><ul><li>AI outputs may be incomplete, inaccurate, or context dependent<\/li><li>outputs are not authoritative or legally binding<\/li><li>reliance on outputs without human review is at your own risk<\/li><\/ul><p>Avenza Tech does not guarantee the correctness, completeness, or legal sufficiency of AI generated outputs.<\/p><h2>7. AI Model Training and Data Use<\/h2><p>Avenza Tech does <strong>not<\/strong> use Customer User Content to train general AI foundation models unless explicitly agreed in writing by the customer.<\/p><p>User Content may be processed to:<\/p><ul><li>operate and provide the Cuora service<\/li><li>generate requested outputs and analyses<\/li><li>maintain system security, integrity, and abuse prevention<\/li><li>improve service performance through aggregated and de identified analytics that do not identify customers or their data<\/li><\/ul><h2>8. Confidentiality<\/h2><p>We implement reasonable technical and organizational measures designed to protect the confidentiality of Customer User Content.<\/p><p>Avenza Tech personnel may access User Content only where necessary to:<\/p><ul><li>provide technical support requested by the customer<\/li><li>maintain or secure the platform<\/li><li>comply with applicable legal obligations<\/li><\/ul><p>All such access is subject to confidentiality obligations.<br \/>Customers remain responsible for ensuring that individuals uploading documents have the appropriate authority to do so.<\/p><h2>9. Service Levels and Support Disclaimer<\/h2><p>Cuora is provided on a commercially reasonable efforts basis. No uninterrupted or error free operation is guaranteed unless expressly stated in a separate written service level agreement.<\/p><p>Maintenance, updates, or external service dependencies may result in temporary service interruptions. Where reasonably practicable, advance notice of planned maintenance will be provided.<\/p><h2>10. Acceptable Use<\/h2><p>You agree not to:<\/p><ul><li>use Cuora in violation of applicable laws or regulations<\/li><li>upload content you do not have the right to process<\/li><li>attempt to reverse engineer, disrupt, or misuse the service<\/li><li>use Cuora to generate unlawful, deceptive, or harmful material<\/li><\/ul><p>We may restrict or terminate access where violations occur.<\/p><h2>11. Data Protection and Privacy<\/h2><p>Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.<\/p><p>Where Avenza Tech processes personal data contained in User Content on behalf of customers, Avenza Tech acts as a <strong>data processor<\/strong> and the customer acts as the <strong>data controller<\/strong>, unless otherwise specified in applicable agreements.<\/p><h2>12. Availability and Changes<\/h2><p>We may:<\/p><ul><li>modify, update, suspend, or discontinue features<\/li><li>update these Terms from time to time<\/li><\/ul><p>Material updates will be communicated appropriately. Continued use of Cuora after updates constitutes acceptance of the revised Terms.<\/p><h2>13. Intellectual Property<\/h2><p>All intellectual property rights in Cuora (excluding User Content), including software, interfaces, and branding, remain the property of Avenza Tech or its licensors.<br \/>No rights are granted except as expressly stated in these Terms.<\/p><h2>14. Limitation of Liability<\/h2><p>To the maximum extent permitted by applicable law:<\/p><ul><li>Avenza Tech shall not be liable for indirect, incidental, or consequential damages<\/li><li>Avenza Tech is not responsible for decisions or actions taken based on AI generated outputs<\/li><li>total liability shall not exceed the fees paid by you (if any) for the relevant subscription period<\/li><\/ul><p>Nothing in these Terms excludes liability that cannot be excluded under applicable law.<\/p><h2>15. Indemnification<\/h2><p>You agree to indemnify and hold harmless Avenza Tech from claims arising from:<\/p><ul><li>your violation of these Terms<\/li><li>your User Content<\/li><li>your failure to comply with applicable laws or regulations<\/li><\/ul><h2>16.
